These terms are the agreement between Khiliad Limited, a company registered in England and Wales under number 11113848 at 86-90 Paul Street, London EC2A 4NE ("we", "us"), and the customer who holds a KnowWho account ("you"). They cover the KnowWho website at knowwhocrm.com, the KnowWho app at app.knowwhocrm.com, and the KnowWho connector at mcp.knowwhocrm.com.

1. About these terms

By creating an account, joining a workspace, or using KnowWho, you agree to these terms. If you use KnowWho for an organisation, you agree on its behalf and confirm that you have authority to do so. In that case "you" means the organisation, and the people it lets into its workspace are its users.

These terms include our data processing agreement, which applies automatically whenever we process personal data on your behalf. Our privacy policy explains how we handle your own account data.

KnowWho is offered for business use only and is not intended for consumers.

2. The service

KnowWho keeps a record of the people, companies, events, conversations, notes, tasks and opportunities in your working life. You add to it and ask it questions through an AI assistant of your choosing, using the KnowWho connector, and you can view it in the KnowWho app.

Your assistant is provided by someone else, such as Anthropic, OpenAI or Google, under their own terms. We are not responsible for their service, for its availability, or for what they do with what you tell them.

KnowWho records what your assistant sends it. Assistants can misunderstand what was said, so every write comes back with a confirmation of what was recorded. Check it, and correct anything that is wrong. You are responsible for decisions you make using information in your book.

3. Your account and workspace

You must be at least 18 to use KnowWho. Give us accurate details when you sign up and keep them up to date.

Each person signs in with their own account. Keep your sign-in details to yourself and tell us straight away at support@knowwhocrm.com if you think someone else has used them. You are responsible for what happens in your account.

Every account belongs to a workspace. The person who creates the workspace is its owner. The owner and any admins can invite people, change their roles, and remove their access. Everyone in a workspace shares the same book. You are responsible for the people you let into your workspace and for what they do there.

4. Plans, fees and payment

Plans. The Free plan costs nothing and has the limits shown on our pricing page. Pro and Team are paid plans. Enterprise is available under a separate signed agreement, which takes precedence over these terms where the two conflict.

Fees. Prices, and any taxes that apply, are shown on our pricing page and at checkout. Paid plans are billed in advance, monthly or yearly, by card through Stripe.

Renewal. A paid plan renews automatically at the end of each period, at the price then in force, until it is cancelled. If we change the price of your plan, we will tell you at least 30 days before your next renewal, and the new price applies from that renewal.

Seats. On Team, adding or removing seats is billed or credited pro rata from the moment of the change. A workspace cannot have fewer seats than the people in it.

Cancelling. You can cancel a paid plan at any time from Billing in the app. You keep the paid plan until the end of the period you have paid for, and the workspace then moves to the Free plan. Fees already paid are not refunded, except where these terms or the law say otherwise.

Failed payment. If a renewal payment fails and is not put right, the workspace moves to the Free plan. Nothing in your book is deleted. Everything stays readable and searchable, and you can add new people and companies again once you are back under the Free limits or on a paid plan.

5. Your data

Your book is yours. You own what you record in KnowWho. You give us permission to store, process and display it only so that we can provide KnowWho to you, as set out in these terms and the data processing agreement.

Your responsibilities. You are the controller of the personal data in your book. You confirm that:

a) you have a lawful basis for the personal data you record, and have met your transparency obligations to the people it is about; b) you will not record special category data, criminal offence data, or the personal data of children; and c) your use of KnowWho complies with data protection law and every other law that applies to you.

Export. Owners and admins can download the whole book as one machine-readable file at any time, on every plan, from Settings in the app. Keep your own copy of anything you cannot afford to lose.

Feedback. If you send us ideas or feedback about KnowWho, we may use them freely and without any obligation to you.

6. Acceptable use

You must not use KnowWho to:

a) break the law, or infringe anyone's rights; b) send unsolicited marketing, or build mailing lists for it; c) record information about people that you have no lawful basis to hold; d) access, or try to access, another workspace's data, or any part of KnowWho you are not authorised to use; e) probe, scan or test the security of KnowWho, unless we have agreed it with you in writing; f) overload or disrupt the service, or work around its limits, including rate limits and plan limits; g) copy, resell or rent KnowWho, or offer it to others as a service; or h) upload malicious code.

You must not reverse engineer KnowWho, except to the extent the law allows despite this term.

7. Our intellectual property

KnowWho, its software, design and brand, belong to us or our licensors. While your account is open we give you a non-exclusive, non-transferable right to use KnowWho in line with these terms. Nothing in these terms transfers our intellectual property to you, or yours to us.

8. Availability, support and changes to the service

We work to keep KnowWho available and reliable, but we do not promise that it will be uninterrupted or free of errors. We may need to interrupt it for maintenance, ideally at quiet times and with notice where we can give it. Unless you have a signed Enterprise agreement that says otherwise, there is no service level commitment.

Support is by email to support@knowwhocrm.com, and by the feedback your assistant can send us.

We improve KnowWho continually, and features change. If a change materially reduces what your paid plan includes, we will tell you at least 30 days in advance. You may then cancel before it takes effect, and we will refund the fees you have paid for the period after it.

9. Our commitments and their limits

We will provide KnowWho with reasonable skill and care. Except as set out in these terms, all warranties, conditions and other terms implied by statute or common law are excluded to the fullest extent the law permits.

10. Liability

10.1 Nothing is excluded that cannot be excluded

Nothing in these terms limits or excludes either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.

10.2 What we are not liable for

Subject to 10.1, we are not liable to you for any of the following, however caused, whether or not we were told it might happen:

a) loss of profit, revenue, business, contracts or anticipated savings; b) loss of goodwill or reputation; c) any indirect or consequential loss; d) any loss arising from your failure to keep your own copy of your data, where an export was available to you.

10.3 The cap

Subject to 10.1, our total liability to you for all claims arising in any 12 month period is limited to the greater of:

a) the total fees you paid us in the 12 months before the claim arose; and b) £500.

10.4 Data protection claims

Subject to 10.1, our total liability for all claims relating to a breach of data protection law or to the security of personal data, arising in any 12 month period, is limited to the greater of:

a) three times the total fees you paid us in the 12 months before the claim arose; and b) £50,000.

10.5 Your liability to us

You are liable to us without limit for fees you owe, and for claims arising from your own breach of data protection law in what you record in KnowWho.

11. Suspension, closure and termination

Closing your account. The owner can close the workspace at any time from Settings in the app. The workspace is held for 30 days, during which the owner can reopen it. After that it is permanently deleted, as our privacy policy and data processing agreement describe. If you are on a paid plan, closing stops it from renewing, and the subscription ends when the workspace is deleted. Fees already paid for the rest of a period are not refunded.

Leaving a workspace. An owner or admin can remove a user's access at any time, or delete the user's account for good. Either way the user's records stay in the workspace's book, because the book belongs to the workspace. When an account is deleted, the records that user owned are given to another user in the workspace, and the owner or admin chooses whether the user stays in the book as a former colleague.

Suspension. We may suspend access to KnowWho, in whole or in part, if you materially breach these terms, if we need to in order to protect the service or other customers, or if the law requires it. Where it is reasonable, we will tell you first and give you the chance to put things right.

Termination by us. We may end these terms if you materially breach them and do not put the breach right within 14 days of our telling you about it, or straight away if the breach cannot be put right. We may also stop providing KnowWho altogether by giving you at least 90 days' notice. In that case we will refund the fees you have paid for the period after it ends, and you will be able to export your book before it does.

After it ends. Your right to use KnowWho stops. We delete your data as our privacy policy and data processing agreement describe. Sections 5, 7, 10 and 13, and anything else that by its nature should continue, survive the end of these terms.

12. Changes to these terms

We may update these terms. If a change materially affects you, we will email the owner of your workspace at least 30 days before it takes effect. If you do not agree to the change, you may cancel before it takes effect, and we will refund the fees you have paid for the period after it. If you keep using KnowWho after it takes effect, the updated terms apply. The date at the top always tells you which version you are reading.

13. General

Entire agreement. These terms, the data processing agreement, and any signed Enterprise agreement are the whole agreement between us about KnowWho. They replace anything said or written before.

Order of precedence. A signed Enterprise agreement takes precedence over these terms. On the processing of personal data on your behalf, the data processing agreement takes precedence over these terms.

Assignment. You may not transfer your rights under these terms without our written consent. We may transfer ours to a company that takes over KnowWho, and we will tell you if we do.

Events beyond our control. We are not liable for failure or delay caused by events beyond our reasonable control, such as a failure of a supplier's infrastructure that we could not reasonably have prevented.

No third-party rights. Nobody other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.

Severance and waiver. If a court finds any part of these terms unenforceable, the rest still applies. If we do not enforce a right straight away, we have not given it up.

Notices. We send notices to the email address of your workspace's owner. Send notices to us at info@khiliad.com, or by post to the address at the top of these terms.

Law and courts. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
